Terms of Service

1. Agreement to Terms

By accessing or using SuperiorStrategy.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SuperiorStrategy.ai is an AI-powered marketing strategy platform that provides:

  • AI-led discovery interviews to understand your business
  • Marketing audit and assessment tools
  • Strategic marketing plan generation
  • Impact-Effort prioritization and action planning
  • Progress review and tracking features

The Service uses artificial intelligence to generate recommendations and strategies based on information you provide. See Section 7 for important disclaimers about AI-generated content.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Use the Service to generate spam, misleading content, or harassment
  • Resell or redistribute the Service without authorization
  • Use automated systems to access the Service in a manner that exceeds reasonable use
  • Circumvent any access controls or usage limits

5. Subscription and Payment

5.1 Subscription Plans

The Service is offered through various subscription tiers with different features and pricing. Current pricing and features are available on our website and may change with notice.

5.2 Payment Processing

All payment processing is handled by Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full credit card details on our servers.

5.3 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by law or as expressly stated in these Terms.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of your paid period.

5.5 Usage Limits

Each subscription tier includes usage allowances for AI features (such as Bijou messages and web searches). We track your usage to enforce these limits. When you approach or exceed your plan's limits, you will receive in-app notifications. A small grace period may be provided beyond your limit, after which access to the affected feature will be restricted until your next billing cycle or a plan upgrade.

5.6 Free Trial

We may offer a free trial period for new accounts. Trial terms (duration, tier, and usage limits) will be disclosed at the time of registration. At the end of the trial, your account will be downgraded unless you subscribe to a paid plan. No payment information is required to start a trial.

5.7 Price Changes

We may change our prices at any time. Price changes will be communicated at least 30 days before taking effect and will apply to the next billing cycle.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by SuperiorStrategy.ai and is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of the content you provide to the Service (interview responses, uploaded documents, etc.). By using the Service, you grant us a limited license to use, process, and store your content solely to provide the Service to you.

6.3 Generated Content

Strategic plans, recommendations, and other content generated by the AI based on your input ("Generated Content") are provided for your use. You may use Generated Content for your internal business purposes. We make no claims of ownership over Generated Content specific to your business.

7. AI-Generated Content Disclaimer

IMPORTANT: Please read this section carefully.

The Service uses artificial intelligence to generate marketing strategies, recommendations, and analyses. You understand and agree that:

  • AI is not infallible: AI-generated content may contain errors, inaccuracies, or recommendations that are not suitable for your specific situation.
  • Not professional advice: Generated content does not constitute professional marketing, legal, financial, or business advice. You should consult with qualified professionals before making significant business decisions.
  • No guarantees: We do not guarantee any specific results from implementing AI-generated strategies. Business outcomes depend on many factors beyond our control.
  • Human review required: You are responsible for reviewing all AI-generated content and determining its appropriateness for your business.
  • Industry knowledge limitations: While our AI is trained on general marketing principles, it may not have specialized knowledge of your specific industry, market conditions, or regulatory requirements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL SUPERIORSTRATEGY.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless SuperiorStrategy.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your implementation of AI-generated recommendations

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and data in accordance with our Privacy Policy
  • Sections that should survive termination (such as Limitation of Liability, Indemnification, and Governing Law) will remain in effect

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SuperiorStrategy.ai regarding your use of the Service and supersede any prior agreements.
